1. Introduction

Welcome to ChurchScroll ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the ChurchScroll website, mobile applications, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

ChurchScroll is operated by ChurchScroll LLC, a Massachusetts limited liability company.

2. Eligibility

You must be at least 18 years old to create an account and use our Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of an organization (such as a church or business), you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or no longer current.

4. User Content

Our Service allows you to post, submit, and share content, including but not limited to church listings, business listings, prayer requests, event information, and profile information (collectively, "User Content").

You retain ownership of your User Content. However, by posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content in connection with operating and promoting the Service.

You represent and warrant that:

• You own or have the necessary rights to post your User Content
• Your User Content does not violate any third party's rights
• Your User Content is accurate and not misleading
• Your User Content complies with these Terms and all applicable laws

5. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Post false, misleading, or fraudulent content
• Impersonate any person or entity
• Harass, abuse, or harm other users
• Post content that is hateful, discriminatory, or promotes violence
• Spam or send unsolicited communications
• Attempt to gain unauthorized access to other accounts or systems
• Use automated systems (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers
• Collect or store personal information about other users without consent
• Use the Service to promote competing services

6. Listings and Directory

ChurchScroll provides a directory of churches, Christian-owned businesses, and community members. We do not endorse, verify, or guarantee the accuracy of any listing information.

For listing owners: You are solely responsible for the accuracy of your listing information. You agree to keep your listing current and to promptly correct any inaccuracies.

For users: Listings are provided for informational purposes only. We recommend verifying information directly with churches and businesses before relying on it. We are not responsible for any interactions or transactions between users and listed entities.

We reserve the right to remove or modify any listing at our sole discretion, including listings that violate these Terms or that we determine are inappropriate.

7. Paid Services and Subscriptions

Some features of the Service require payment, including premium listings, advertising, and subscription plans. By purchasing paid services, you agree to the following:

7.1 Payment

You agree to pay all fees associated with your selected services. Payments are processed through our third-party payment processors (Stripe and PayPal). By providing payment information, you represent that you are authorized to use the payment method.

7.2 Subscriptions

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

7.3 Refunds

Refunds are provided at our sole discretion. Generally, subscription fees are non-refundable. For one-time purchases, refund requests must be made within 14 days of purchase and may be subject to review.

7.4 Price Changes

We may change our prices at any time. For existing subscriptions, price changes will take effect at the next renewal period. We will provide advance notice of any price increases.

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by ChurchScroll and are protected by copyright, trademark, and other intellectual property laws.

Our name, logo, and all related names, logos, and slogans are trademarks of ChurchScroll. You may not use these marks without our prior written consent.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT ENDORSE OR GUARANTEE ANY LISTINGS, AND WE ARE NOT RESPONSIBLE FOR THE ACTIONS OR CONTENT OF ANY USERS OR THIRD PARTIES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHURCHSCROLL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless ChurchScroll and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

13. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. You may also terminate your account at any time by contacting us.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws provisions.

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@churchscroll.com. If we cannot resolve the dispute informally within 30 days, either party may proceed with formal legal action.

Any legal action shall be brought exclusively in the state or federal courts located in Massachusetts, and you consent to the jurisdiction of such courts.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service and updating the "Last Updated" date.

Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ChurchScroll regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
